deeprelay is operated by Deeprelay, Inc. (“Deeprelay”, “we”, “us”), a Delaware corporation with offices at 2261 Market St, San Francisco, CA 94114 and 169 Madison Ave, New York, NY 10016. Deeprelay operates the serverless AI inference platform these Terms govern.
By accessing or using deeprelay services, you agree to be bound by these Terms of Service, which form an agreement between you and Deeprelay, Inc. If you do not agree, you may not use our services.
deeprelay provides serverless AI inference services: API, CLI, and MCP access to frontier open-weight models, offered under a flat subscription. We route your requests across upstream compute providers on our own infrastructure; the set of models, their capabilities, and the upstream capacity behind them may change over time. We may also offer on-demand GPU compute and related services, which these Terms equally govern.
Subscription plans are billed in advance on a recurring basis and renew automatically until cancelled. If you cancel, your plan remains active until the end of the current billing period; except where required by law, payments are non-refundable. Any usage-based services we offer are billed according to the pricing in effect when the usage occurs. You are responsible for all charges incurred under your account, and we reserve the right to suspend services for non-payment.
Subscription plans are subject to fair-use limits, including rate and volume limits, described at the point of purchase or in our documentation. We may change plan pricing or limits prospectively with reasonable prior notice; changes take effect at your next renewal.
The subscription is billed to your payment method through Stripe; promotional, trial and referral credits cannot be applied to it (see Referral, Affiliate and Feedback Programs).
The referral program, the affiliate deposit commission, the affiliate post-reward program and the feedback-credit program (together, the “Programs”) are entirely voluntary promotional programs offered at Deeprelay, Inc.'s sole discretion. We may modify, suspend, or cancel any Program, in whole or in part, at any time, with or without notice, and without liability to you.
All Program rewards, including the $25 referral credits, any affiliate deposit commission, the $5 post reward and the $5 feedback credit, are discretionary promotional credits. They have no cash value, are non-transferable, non-withdrawable and non-refundable, expire in accordance with our credit policies, and may be used only for pay-per-use inference. Promotional, trial and referral credits can never be applied toward the subscription, which must be paid with real funds.
Feedback credit is awarded only when we, in our sole judgment, deem a submission serious and actionable. Submitting feedback creates no obligation on us to respond, act, or award credit. Prior awards, participation, or past practice create no entitlement to future or continued rewards.
Post rewards are paid per qualifying comment on Reddit that recommends deeprelay, after we verify it. A qualifying comment is public, written by you about your genuine experience, made under a popular post published within the previous 24 hours, and complies with applicable law and the platform's and community's rules. Each comment can be rewarded once, a submission is not a reward until we credit it, and we may decline submissions in our sole judgment, including comments that are spam, misleading, deleted or not about deeprelay.
We may withhold, reverse, or claw back rewards where we suspect fraud, self-referral, abuse, or any breach of these Terms, and referral credits are reversed automatically if the deposit that qualified them is refunded or reversed. To the maximum extent permitted by law, we have no financial or legal liability in connection with the Programs, and our aggregate liability arising out of or relating to the Programs is $0.
Any feedback, suggestions or ideas you submit are licensed to us on a perpetual, irrevocable, worldwide, royalty-free basis; we may use them without restriction or obligation to you.
You agree not to use our services for any unlawful purpose or in violation of any applicable laws. Your use of deeprelay, including any compute workloads you run and any AI prompts, inputs, and outputs you submit or generate, is governed by our Acceptable Use Policy, which is incorporated into and forms part of these Terms. We reserve the right to suspend or terminate accounts that violate the Acceptable Use Policy or these Terms.
You are solely responsible for the GPU compute workloads you provision, the software and models you run on them, and the AI prompts, inputs, training data, and outputs you submit to or generate through our serverless inference services. You are responsible for ensuring that your use is lawful, that you hold all rights and consents necessary for the data and models you process, and that your workloads do not infringe the rights of any third party.
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Deeprelay, Inc., its affiliates, and their respective officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your workloads, data, models, prompts, or outputs; (b) your misuse of the services; or (c) your breach of these Terms or the Acceptable Use Policy.
The services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. We do not warrant that the services will be uninterrupted, error-free, or that compute capacity will always be available.
To the maximum extent permitted by applicable law, in no event will Deeprelay, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services. Our total aggregate liability for all claims arising out of or related to the services will not exceed the total amounts you paid to us for the services in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of these limitations may not apply to you.
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Deeprelay, Inc. irrevocably submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware to settle any such dispute or claim.
